Merchant Agreement

This Merchant Agreement ("Agreement") is entered into between TownTable ("Platform") and the food vendor ("Merchant") registering on the Platform.

By onboarding and using TownTable, the Merchant agrees to the following terms:

1. Nature of Relationship

  • TownTable is a technology platform that enables Merchants to list and sell food items to users.
  • TownTable does not act as a restaurant, seller, delivery provider, or agent of the Merchant.
  • The relationship between TownTable and the Merchant is on a principal-to-principal basis, not employer-employee or partnership.

2. Merchant Responsibilities

The Merchant shall be solely responsible for:

  • Food preparation, quality, and hygiene
  • Compliance with all applicable food safety laws (including FSSAI, if applicable)
  • Accurate listing of menu items, prices, and availability
  • Timely preparation and delivery of orders using their own staff
  • Handling customer interactions related to food and delivery

TownTable shall have no responsibility or liability for the above.

3. Order Flow & Acceptance

  • Orders placed on the Platform are forwarded to the Merchant.
  • The Merchant has the right to accept or reject any order.
  • Once accepted, the Merchant is obligated to fulfill the order.

4. Payment Structure

4.1 Payment Method

  • Payments are made by users via UPI or supported payment methods.
  • Payment may be split between the Merchant (food amount) and TownTable (platform fee).

4.2 Settlement

  • The Merchant shall receive payment directly or via settlement as per the Platform's system design.
  • TownTable is not liable for payment failures caused by third-party payment systems.

5. Fees & Charges

  • TownTable may charge a merchant fee per order or a subscription fee.
  • Fees may be revised with prior notice.
  • The Merchant agrees to pay all applicable charges for using the Platform.

6. Refunds & Cancellations

6.1 Merchant Responsibility

The Merchant is responsible for:

  • Accepting or rejecting orders
  • Initiating cancellations when necessary

6.2 Refund Liability

In case of order cancellation:

  • The food amount is refundable to the user
  • The Merchant may be responsible for refunding their portion
  • TownTable's platform fee is non-refundable

6.3 Disputes

  • The Merchant agrees to cooperate in resolving refund disputes.
  • Final decision regarding refunds may be taken by TownTable after review.

7. Delivery Responsibility

The Merchant is solely responsible for:

  • Delivery execution
  • Delivery time
  • Delivery personnel

TownTable does not provide delivery services and shall not be liable for delivery-related issues.

8. Food Safety & Compliance

The Merchant agrees to:

  • Maintain hygiene and food safety standards
  • Obtain necessary licenses (e.g., FSSAI registration if required)
  • Ensure food is safe for consumption

TownTable shall not be liable for:

  • Food poisoning
  • Health issues
  • Quality complaints

9. Ratings & Reviews

  • Customers may rate orders placed with the Merchant.
  • TownTable may display ratings publicly.
  • The Merchant shall not manipulate or misuse the review system.

10. Prohibited Conduct

The Merchant shall not:

  • Accept payments outside the Platform for listed orders
  • Provide false or misleading information
  • Engage in fraudulent or abusive behavior
  • Attempt to bypass platform fees

Violation may lead to suspension or termination.

11. Suspension & Termination

TownTable may suspend or terminate the Merchant account if:

  • Terms are violated
  • Repeated complaints are received
  • Fraudulent activity is detected

The Merchant may discontinue use of the Platform at any time.

12. Limitation of Liability

To the maximum extent permitted by law, TownTable shall not be liable for:

  • Loss of revenue or business
  • Customer disputes
  • Food quality issues
  • Delivery failures
  • Payment issues caused by third parties

The Merchant agrees to indemnify and hold harmless TownTable against any claims arising from:

  • Food safety issues
  • Delivery problems
  • Legal violations

13. Indemnification

The Merchant agrees to defend, indemnify, and hold harmless TownTable from any claims, damages, or losses arising out of:

  • Breach of this Agreement
  • Violation of laws
  • Customer complaints

14. Intellectual Property

  • The Merchant grants TownTable the right to use its name, logo, and menu for display on the Platform.
  • Ownership of the brand remains with the Merchant.

15. Changes to Agreement

TownTable reserves the right to update this Agreement. Continued use implies acceptance of updated terms.

16. Governing Law

This Agreement shall be governed by the laws of India. Jurisdiction shall lie in courts of Guwahati.
